Important notice. These Terms contain provisions concerning governing law, venue, waiver of jury trial, limitations on actions, and a class-action waiver. Please review Section 11.7 and Section 11.8 carefully.

Welcome to Real Estate Plan. Real Estate Plan, LLC (“Real Estate Plan,” “we,” “us,” or “our”) operates www.realestateplan.com/ and the pages, features, forms, tools, applications, and services made available through that website (collectively, the “Site”). The Site allows consumers to review real estate information and listings, learn about brokerage and property-related services, contact Real Estate Plan and its real estate licensees, request consultations, and use other features that may be offered from time to time.

Your use of the Site is subject to these Terms and Conditions of Use (the “Terms”), together with the Privacy Policy and any additional terms, notices, disclosures, consents, or rules presented for a particular feature. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not access or use the Site.

These Terms govern use of the Site. They do not, by themselves, create an exclusive brokerage relationship, attorney-client relationship, contractor-client relationship, lender-borrower relationship, title-agency relationship, fiduciary relationship, or other professional relationship. Any such relationship is governed by separate disclosures, agreements, licenses, and applicable law.

We recommend that you retain or print a copy of these Terms for your records.

1. Registration and use of the Site

1.1 Scope of use. The Site is intended to assist prospective purchasers, sellers, tenants, landlords, property owners, real estate professionals, and other users in locating information and communicating with Real Estate Plan concerning real estate listings, brokerage services, property preparation, restoration or construction-related resources, relocation resources, and other services or resources described on the Site. You may use the Site only for lawful purposes and in accordance with these Terms.

1.2 Accounts and registration. Certain Site features may require registration, creation of an account, or submission of contact information. If an account is offered, you must provide accurate, current, and complete information and keep it updated.

1.3 Minimum age. You must be at least eighteen (18) years old to create an account, submit a request for brokerage services, or otherwise use features intended for adults entering real estate transactions.

1.4 Password and identity. If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account. You may not share, sell, transfer, or assign your account. You must promptly notify us if you believe your account has been compromised.

1.5 Communications and consent. If you provide a telephone number, email address, or other contact information and request information or services, you authorize Real Estate Plan and its authorized representatives to respond using the contact methods you provide, subject to applicable law and any separate consent presented to you. Where applicable law requires separate prior express written consent for marketing calls or text messages, we will rely on the applicable consent language presented at the time of collection. Consent to receive marketing communications is not a condition of purchasing property or brokerage services where prohibited by law. You may opt out as instructed in the applicable communication.

1.6 Real estate professional restrictions. Real estate brokers, salespersons, agents, and other licensed real estate professionals may not copy, republish, scrape, market, redistribute, or commercially exploit Site content or listing information except as expressly authorized by Real Estate Plan, the applicable listing service, a written co-brokerage agreement, or applicable law and MLS rules. Real Estate Plan may permit access for compliance, co-brokerage, IDX, VOW, or listing-service purposes, including through OneKey® MLS where applicable.

1.7 Brokerage and agency relationships. Use of the Site or communication through a general website form does not automatically create an agency relationship. Any seller, buyer, landlord, tenant, broker’s-agent, dual-agency, or designated-agency relationship is established and disclosed as required by applicable law and by the parties’ separate agreements. Real Estate Plan may represent multiple clients whose interests relate to the same market or property, subject to applicable law and required disclosures or consents.

1.8 Service area. The Site principally supports Real Estate Plan’s licensed real estate activities in New York, including Long Island and the New York City area, and may describe referral or relocation assistance involving other jurisdictions. Real Estate Plan provides brokerage services only where properly licensed and may coordinate with appropriately licensed professionals in other jurisdictions.

1.9 Existing brokerage relationships. You are responsible for disclosing any exclusive listing agreement, buyer representation agreement, tenant representation agreement, or other brokerage relationship that may affect our ability to assist you. Real Estate Plan will not knowingly interfere with another broker’s valid exclusive relationship in violation of applicable law or professional rules.

1.10 Seller and property contact restrictions. You may not use information obtained through the Site to trespass on property, circumvent a listing broker, improperly solicit a represented seller or owner, or contact an owner in a manner prohibited by law, MLS rules, or an existing exclusive brokerage relationship.

1.11 Multiple buyers and sellers. You acknowledge that Real Estate Plan and its associated licensees may work with other prospective buyers, sellers, tenants, or landlords interested in the same properties or geographic markets, consistent with applicable fiduciary duties, confidentiality obligations, and agency disclosures.

1.12 Transaction documents. With your authorization and as permitted by law, Real Estate Plan may receive, review, transmit, or provide copies of transaction-related materials such as property disclosures, inspection reports, listing materials, offers, comparable-market information, title-related materials, closing documents, or other records. Real Estate Plan does not provide legal, tax, engineering, environmental, lending, title, or other professional advice unless separately licensed and expressly engaged to do so through an appropriate agreement.

2. Posting or submitting content

2.1 Protected Site content. The Site and its content, including software, text, photographs, video, graphics, designs, trademarks, logos, listing displays, reports, forms, calculators, databases, and other materials (collectively, “Content”), are protected by copyright, trademark, database, contract, and other intellectual-property rights owned by Real Estate Plan, its licensors, listing services, vendors, property owners, photographers, agents, or other third parties.

2.2 Your content and warranties. If you upload, transmit, submit, post, or otherwise make content available to us (“Your Content”), including photographs, property information, comments, feedback, reviews, documents, messages, ideas, or suggestions, you represent and warrant that:

  • you own Your Content or have all rights and permissions necessary to submit it and authorize our permitted use;
  • Your Content does not infringe or misappropriate any copyright, trademark, privacy, publicity, contractual, fiduciary, or other right of any person;
  • Your Content is accurate to the best of your knowledge and is not intentionally misleading;
  • Your Content does not unlawfully disclose confidential, proprietary, private, or protected information; and
  • your submission and our permitted use of Your Content will comply with applicable law.

2.3 Prohibited content. You may not submit Content that is unlawful, fraudulent, defamatory, threatening, harassing, discriminatory, obscene, invasive of privacy, infringing, malicious, deceptive, unauthorized advertising, or otherwise harmful; that contains malware or destructive code; that includes personal information you are not authorized to disclose; or that violates fair-housing, consumer-protection, anti-discrimination, privacy, intellectual-property, or other applicable laws.

3. Ownership of content; licenses

3.1 Ownership of Your Content. As between you and Real Estate Plan, you retain the rights you lawfully own in Your Content, subject to the license you grant below and any separate listing, photography, marketing, or transaction agreement.

3.2 License to Real Estate Plan. To the extent necessary to operate, provide, improve, market, secure, archive, and support the Site and our services, and to use information in accordance with our Privacy Policy and applicable law, you grant Real Estate Plan a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, transmit, format, adapt, and distribute Your Content. For property listing content, the scope and duration of rights may also be governed by the applicable listing agreement, MLS rules, photography rights, and syndication agreements. We do not claim ownership of intellectual property you do not transfer to us by separate written agreement.

3.3 Independent contractors and service providers. Real estate licensees associated with Real Estate Plan may act as independent contractors as permitted by law. The Site may also connect users with third-party contractors, attorneys, lenders, title professionals, restoration providers, inspectors, permit expediters, movers, insurance professionals, or other service providers. Any third party’s use of information is subject to applicable law, contractual restrictions, and that party’s own privacy obligations or policy, as applicable.

4. User restrictions

4.1 Prohibited conduct. You may not do, or attempt to do, any of the following:

  • use the Site in violation of any applicable local, state, federal, or international law, regulation, contract, intellectual-property right, privacy right, fair-housing requirement, MLS rule, or listing-service restriction;
  • access, tamper with, probe, bypass, or use non-public areas, systems, security controls, authentication measures, servers, networks, code, or data without authorization;
  • alter, falsify, or interfere with listing information, registration information, profiles, submissions, reports, or Content;
  • use robots, spiders, crawlers, scrapers, automated agents, bulk-download tools, data-mining systems, or other automated means to access or extract Site or listing data except as expressly authorized in writing;
  • harvest email addresses, telephone numbers, user information, listing data, or other information for unsolicited advertising, spam, mass solicitation, dictionary attacks, or unlawful commercial use;
  • frame, mirror, reproduce, syndicate, or republish the Site in a manner that falsely suggests affiliation, endorsement, sponsorship, or authorization;
  • impersonate any person or entity or misrepresent your identity, credentials, affiliation, agency relationship, or authority;
  • reverse engineer, decompile, disassemble, or attempt to discover source code or circumvent restrictions on software except to the limited extent such restriction is prohibited by law;
  • introduce malware, viruses, spyware, ransomware, harmful code, deceptive code, or any material that could damage, disrupt, or interfere with the Site or another user; or
  • take any action that imposes an unreasonable or disproportionately large load on Site infrastructure or interferes with normal operation.

4.2 Listing data and personal use. Unless otherwise expressly authorized, listing data and search results are provided for consumers’ personal, non-commercial use solely to identify properties in which they may have a bona fide interest. You may not scrape, harvest, resell, republish, or create a competing database from listing data.

4.3 Listing-service rights. Listing information may be supplied by OneKey® MLS, participating brokers, other multiple listing services, public records, data vendors, property owners, or other sources. Those parties may own or control rights in the data they supply. You agree to respect all applicable copyright, database, contract, attribution, display, and use restrictions.

4.4 Privacy-law compliance. If you lawfully receive personal information through the Site in a professional or business capacity, you are responsible for complying with all applicable privacy, data-security, record-retention, marketing, and communications laws governing your collection, access, use, storage, disclosure, and disposal of that information.

5. Monitoring and protection of content

5.1 No general duty to monitor. We are not obligated to monitor all user submissions, third-party content, messages, reviews, or other material. We may, however, review, restrict, remove, preserve, or disclose content when we reasonably believe it is necessary to operate or protect the Site, enforce these Terms, comply with law or legal process, address fraud or security concerns, protect rights or safety, or respond to complaints.

5.2 Limited license to you. Subject to these Terms, Real Estate Plan grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and privately display Site Content for your personal, lawful use and to print or save reasonable excerpts for your personal real estate evaluation. No commercial redistribution or republication is permitted unless separately authorized.

5.3 Reservation of rights. Real Estate Plan and its licensors reserve all rights not expressly granted. Except as expressly permitted by these Terms or applicable law, you may not reproduce, distribute, modify, publish, publicly perform, publicly display, sell, license, or create derivative works from Site Content without permission from the applicable rights holder.

6. Term and termination

6.1 Term. These Terms remain in effect while you access or use the Site and, for provisions that by their nature should survive, after you stop using the Site.

6.2 Right to restrict or terminate access. We may restrict, suspend, or terminate Site access or an account when reasonably necessary to enforce these Terms, protect the Site or others, comply with law, address security or fraud concerns, or discontinue a feature, subject to applicable fair-housing and other laws.

6.3 Effect of termination. After termination, you may lose access to account content or saved information. Provisions concerning intellectual property, licenses already granted, disclaimers, indemnification, limitations of liability, dispute provisions, and other provisions intended to survive will remain effective to the extent permitted by law.

7. Third-party sites, services, and resources

The Site may contain links to third-party websites, advertisements, embedded tools, listing feeds, mapping services, lenders, title providers, attorneys, contractors, restoration providers, permit resources, inspectors, movers, insurance professionals, social-media platforms, analytics providers, or other third-party services. Unless expressly stated otherwise, those third parties are independent from Real Estate Plan. We do not control and are not responsible for the accuracy, availability, legality, security, privacy practices, terms, products, services, or content of third-party sites or providers. A link, referral, introduction, or resource listing does not by itself constitute a guarantee, warranty, or endorsement. You use third-party resources at your own risk and should review their terms, privacy policies, licenses, credentials, and agreements.

8. Disclaimers, indemnification, and limitation of liability

8.1 No warranty. TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE, CONTENT, LISTING INFORMATION, TOOLS, REPORTS, CALCULATORS, AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED FOR INFORMATIONAL PURPOSES ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. REAL ESTATE PLAN, LLC, ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, ASSOCIATED LICENSEES, INDEPENDENT CONTRACTORS, VENDORS, CONTENT PROVIDERS, LISTING-SERVICE PROVIDERS, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, THE “REAL ESTATE PLAN GROUP”) DISCLAIM WARRANTIES OF ACCURACY, COMPLETENESS, AVAILABILITY, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

8.2 Real estate information; independent verification. Listings may be changed, corrected, withdrawn, sold, rented, expired, or otherwise modified without notice. Prices, taxes, dimensions, acreage, square footage, school information, zoning, permits, certificates, room counts, property features, condition, flood information, environmental information, and other details may be approximate, incomplete, outdated, or supplied by third parties. Renderings, virtual staging, furnishings, and photographs may be illustrative. You must independently verify information material to your decision through appropriate professionals and official sources before entering into a transaction.

8.3 No appraisal, legal, tax, engineering, environmental, lending, or other professional advice. Market analyses, automated estimates, calculators, checklists, articles, reports, restoration information, permit information, estate-related educational content, and other Site materials are general informational resources. Unless a separately licensed professional is specifically engaged under a separate agreement, they are not an appraisal, legal opinion, tax opinion, engineering report, environmental assessment, home inspection, mortgage commitment, title opinion, insurance advice, or guarantee of value, condition, eligibility, financing, closing, or outcome.

8.4 Generative artificial intelligence. If the Site makes generative artificial intelligence or automated conversational features available, those features may produce incomplete, inaccurate, outdated, or fabricated information. You must independently evaluate and verify material results. AI-generated output is not a substitute for professional advice and cannot bind Real Estate Plan or any third party to a contract, representation, price, offer, legal conclusion, or transaction term unless separately confirmed by an authorized person in a binding written agreement.

8.5 Indemnification. To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless the Real Estate Plan Group from third-party claims, damages, liabilities, losses, costs, and reasonable attorneys’ fees arising out of or related to Your Content, your unlawful or unauthorized use of the Site, your violation of these Terms, or your violation of another person’s rights, except to the extent caused by conduct for which indemnification may not lawfully be required.

8.6 Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NO MEMBER OF THE REAL ESTATE PLAN GROUP SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THE SITE, CONTENT, THIRD-PARTY LINKS, OR YOUR USE OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED. IF YOU ARE DISSATISFIED WITH THE SITE OR THESE TERMS, YOUR PRIMARY REMEDY IS TO DISCONTINUE USE OF THE SITE.

9. Notices and contact information

We may provide notices concerning the Site or these Terms electronically, including by posting on the Site or sending notice to an email address you provide, to the extent permitted by law. You are responsible for keeping your contact information current.

Notices relating to a specific real estate transaction should also be delivered in the manner required by the applicable listing agreement, buyer representation agreement, lease-related agreement, contract of sale, or other governing transaction document.

10. Amendments and changes to the service

10.1 Changes to Terms. We may revise these Terms from time to time. Changes will apply prospectively unless applicable law permits otherwise. The current version will be posted on the Site with its effective or last-modified date. Your continued use of the Site after an updated version becomes effective constitutes acceptance to the extent permitted by law.

10.2 Your obligation to review. You should periodically review these Terms and keep your contact information current if you maintain an account or have an active inquiry.

10.3 Changes to the Site. We may modify, suspend, restrict, discontinue, add, or remove Site features or Content at any time, subject to applicable law. We are not liable merely because a feature or item of Content is modified, removed, or discontinued.

11. Miscellaneous

11.1 Electronic transactions. To the extent permitted by law, communications, disclosures, consents, acknowledgments, records, and transactions related to the Site may be conducted electronically. Separate transaction documents may contain additional electronic-signature or delivery terms.

11.2 Interpretation. Headings are for convenience only. The words “include” and “including” are illustrative and not limiting. References to “writing” may include electronic records where permitted by law.

11.3 Third-party rights. Except for members of the Real Estate Plan Group and other parties expressly identified as beneficiaries of a provision, these Terms are not intended to create enforceable rights in third parties.

11.4 Severability. If a provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum lawful extent or severed, and the remaining provisions will continue in effect, except where doing so would defeat the essential allocation of rights and risks contemplated by these Terms.

11.5 Assignment. You may not assign or transfer your rights or obligations under these Terms without Real Estate Plan’s prior written consent. Real Estate Plan may assign these Terms in connection with a merger, reorganization, sale of assets, transfer of the Site, or other lawful business transaction, subject to applicable law.

11.6 U.S. access and export compliance. The Site is controlled from the United States and is primarily directed to users in the United States. Users accessing the Site from another location are responsible for compliance with applicable local laws. You may not use the Site in violation of applicable U.S. export-control or sanctions laws.

11.7 Governing law; jurisdiction; venue; waiver of jury trial. THESE TERMS AND CLAIMS ARISING OUT OF OR RELATING TO THE SITE ARE GOVERNED BY THE LAWS OF THE STATE OF NEW YORK, WITHOUT REGARD TO CONFLICT-OF-LAWS RULES THAT WOULD REQUIRE APPLICATION OF ANOTHER JURISDICTION’S LAW. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND REAL ESTATE PLAN AGREE THAT ANY COURT ACTION ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL BE BROUGHT IN A STATE COURT OF COMPETENT JURISDICTION LOCATED IN SUFFOLK COUNTY, NEW YORK, OR, IF FEDERAL JURISDICTION EXISTS, IN THE UNITED STATES DISTRICT COURT FOR THE EASTERN DISTRICT OF NEW YORK. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES THE RIGHT TO A TRIAL BY JURY.

11.8 Limitations on actions; individual claims; class-action waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUES, OR WITHIN THE SHORTEST PERIOD THAT MAY LAWFULLY BE AGREED IF A ONE-YEAR LIMIT IS NOT ENFORCEABLE. TO THE FULLEST EXTENT PERMITTED BY LAW, DISPUTES SHALL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS. YOU AND REAL ESTATE PLAN WAIVE ANY RIGHT TO PARTICIPATE AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE-ATTORNEY-GENERAL ACTION RELATING TO THE SITE OR THESE TERMS. THIS PROVISION DOES NOT WAIVE RIGHTS THAT CANNOT LAWFULLY BE WAIVED.

11.9 Entire agreement. These Terms, together with the Privacy Policy and any additional terms incorporated by reference for Site features, constitute the agreement governing use of the Site and supersede prior or contemporaneous understandings concerning that subject. Separate real estate, construction, restoration, referral, legal, lending, title, or other service agreements remain governed by their own terms.

11.10 No waiver. A party’s failure to enforce a provision does not waive that provision or the right to enforce it later.

11.11 Third-party vendors. The Site, contact center, forms, CRM, communications, listing feed, scheduling, analytics, hosting, and other functions may be supported by third-party vendors acting on our behalf. Information may be processed by such providers consistent with our Privacy Policy, applicable contracts, and law.

11.12 Accessibility. Real Estate Plan is committed to providing a user-friendly digital experience and to improving accessibility for users with disabilities. If you have difficulty accessing content or functionality, please call us at 631-465-0440 or use our contact form and describe the feature or content at issue. We will make reasonable efforts to address accessibility concerns and improve the Site consistent with applicable requirements and available technology.

12. Additional and required notices

12.1 Trademarks

The Site may display trademarks, service marks, logos, trade names, and other branding owned by Real Estate Plan, LLC, its affiliates, licensors, vendors, listing services, and other third parties. You may not use any mark in a manner that suggests sponsorship, endorsement, affiliation, or source designation without permission from the owner. You may not remove or alter copyright, trademark, attribution, or other proprietary notices.

12.2 Copyright and DMCA notices

Real Estate Plan respects intellectual-property rights. If you believe material on the Site infringes a copyright you own or are authorized to enforce, you may submit a notice consistent with the Digital Millennium Copyright Act (DMCA) to:

A notice may also be submitted through our contact form, marked for the attention of the Copyright Agent.

A copyright notice should include:

  • a physical or electronic signature of the copyright owner or authorized agent;
  • identification of the copyrighted work claimed to have been infringed;
  • identification and location of the allegedly infringing material sufficient for us to locate it;
  • your name, mailing address, telephone number, and email address;
  • a statement of good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or law; and
  • a statement that the information in the notice is accurate and, under penalty of perjury, that you are the copyright owner or are authorized to act for the owner.

We may remove or restrict access to allegedly infringing material and, in appropriate circumstances, may restrict or terminate users who repeatedly infringe intellectual-property rights. We may preserve and disclose information as reasonably necessary to respond to a valid infringement notice, counter-notice, subpoena, court order, or other lawful process.

12.3 Filtering software and minors

The Site is intended for adults engaging in real estate and property-related research and transactions. Users under eighteen (18) are not authorized to create accounts or submit transaction requests. Commercially available parental-control tools may help limit access by minors to online content.

12.4 No harvesting or dictionary attacks

You may not harvest addresses, telephone numbers, or other contact information maintained by the Site for unauthorized commercial email, text messaging, telemarketing, spam, or other mass solicitation. You may not use automated address-generation or dictionary-attack techniques to send messages through or to Site systems. All electronic marketing must comply with applicable laws, including the CAN-SPAM Act and other applicable communications laws.

12.5 Equal housing opportunity

Real Estate Plan supports the letter and spirit of federal, state, and local fair-housing laws and equal housing opportunity. Real Estate Plan does not discriminate in the sale, rental, financing, marketing, or provision of real estate services on the basis of race, color, religion, sex, disability, familial status, national origin, or any other characteristic protected by applicable law.

12.6 IDX / MLS disclaimer

IDX information is provided exclusively for consumers’ personal, non-commercial use and may not be used for any purpose other than to identify prospective properties consumers may be interested in purchasing. Information is deemed reliable but is not guaranteed to be accurate. Listing information may be updated, corrected, withdrawn, sold, rented, or otherwise changed without notice. Users should independently verify material facts.

12.7 New York agency disclosure notices

New York law requires real estate licensees, in applicable transactions, to provide state-prescribed disclosure forms explaining agency relationships. The following summaries are educational and do not replace the current New York State disclosure form required for a particular transaction. Real Estate Plan will provide the applicable current form when required by law.

Buyer and seller agency relationships

Seller’s agent. A seller’s agent is engaged by the seller to represent the seller’s interests. The seller’s agent generally owes fiduciary duties to the seller, including reasonable care, undivided loyalty, confidentiality, full disclosure, obedience, and a duty to account, subject to applicable law and the brokerage agreement. A seller’s agent does not represent the buyer.

Buyer’s agent. A buyer’s agent is engaged by the buyer to represent the buyer’s interests in locating and negotiating the purchase of property. The buyer’s agent generally owes fiduciary duties to the buyer, including reasonable care, undivided loyalty, confidentiality, full disclosure, obedience, and a duty to account, subject to applicable law and the brokerage agreement. A buyer’s agent does not represent the seller.

Broker’s agent. A broker’s agent cooperates with or is engaged by a listing agent or buyer’s agent to assist that agent’s client. The broker’s agent does not have a direct agency relationship with the buyer or seller unless separately established under applicable law.

Dual agent. A real estate broker may represent both buyer and seller only when dual agency is permitted and both parties provide the informed written consent required by law. Because the same brokerage represents both sides, the broker cannot provide undivided loyalty to either party in the same manner as a single agent.

Dual agent with designated sales agents. Where permitted and properly disclosed, the broker acting as dual agent may designate one sales agent to work with the buyer and another sales agent to work with the seller. The relationship and limits on fiduciary duties must be disclosed and consented to as required by New York law.

Landlord and tenant agency relationships

Landlord’s agent. A landlord’s agent is engaged by the landlord to represent the landlord’s interests in renting or leasing property. The landlord’s agent generally owes fiduciary duties to the landlord and does not represent the tenant, subject to applicable law and the brokerage agreement.

Tenant’s agent. A tenant’s agent is engaged by the tenant to represent the tenant’s interests in locating and negotiating a rental or lease. The tenant’s agent generally owes fiduciary duties to the tenant and does not represent the landlord, subject to applicable law and the brokerage agreement.

Broker’s agent. A broker’s agent may assist a landlord’s agent or tenant’s agent without having a direct agency relationship with the landlord or tenant, unless separately established as permitted by law.

Dual agent. A broker may represent both landlord and tenant only when dual agency is permitted and both parties provide the informed written consent required by law.

Dual agent with designated sales agents. Where permitted, a dual agent may designate separate sales agents to work with landlord and tenant, subject to the disclosures, consents, and limits required by law.

12.8 No legal or tax advice

12.9 Property preparation, construction, restoration, and related resources

Where the Site describes construction, restoration, mold, water, flood, permit, cleanout, property-preparation, or similar resources, the scope, price, warranties, licensing, insurance, responsibility, and terms for any actual work will be governed by the separate written agreement with the provider performing the work. Brokerage services and contractor or restoration services are distinct services even when coordinated as part of a broader Real Estate Plan strategy.

12.10 Mortgage, title, legal, insurance, and other referrals

Real Estate Plan may identify or coordinate with lenders, title companies, attorneys, insurance professionals, permit expediters, inspectors, movers, contractors, restoration providers, or other professionals. Unless otherwise expressly disclosed in writing, those providers are independent third parties, and Real Estate Plan does not guarantee their services, approval decisions, availability, or outcomes. Users are free to select their own providers except where a particular transaction document lawfully provides otherwise.

12.11 Fair housing and non-discrimination

All users, associated real estate licensees, and professionals using the Site must comply with applicable federal, New York State, and local fair-housing, civil-rights, and human-rights laws. Site tools, filters, inquiries, and communications may not be used to express or implement an unlawful discriminatory housing preference.

12.12 Effective date

These Terms are effective August 26, 2026, and supersede prior website terms to the extent they govern the same subject matter.
